## 1. Agreement & Acceptance

By accessing or using EshopListing ("Service", "Platform"), you ("Merchant", "you", "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

These Terms constitute the entire agreement between you and EshopListing ("we", "us", "our") with respect to the Service.

## 2. Definitions

| API Key | A secret credential granting programmatic access to the Service |

| Trust Certificate | A Solana blockchain record (cNFT) issued to eligible subscribers |

| AI Platforms | Third-party AI assistants and language models (including but not limited to ChatGPT, Claude, Gemini, Perplexity) that may read AI-Readable Files |

## 3. Description of Service

EshopListing is an AI commerce infrastructure service that:

1. Scans publicly accessible pages of your e-commerce store

2. Structures your product catalog into AI-readable formats

3. Distributes these files through standardized protocols accessible to AI Platforms

4. Issues verification certificates and trust signals for eligible subscribers

5. Provides a dashboard and API to monitor AI agent activity on your store data

Important: EshopListing improves the readability of your store data for AI systems. We do not control, and do not guarantee, that any AI Platform will use your data, recommend your products, or generate sales. AI Platforms operate independently and their behavior is outside our control.

## 4. Account Registration

### 4.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account. The Service is intended for merchants and businesses, not individual consumers.

### 4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep this information updated. Accounts registered with false information may be suspended.

### 4.3 Account Security

You are responsible for:

- Maintaining the confidentiality of your login credentials and API keys

- All activity that occurs under your account

- Notifying us immediately at hello@eshoplisting.com if you suspect unauthorized access

We are not liable for any loss resulting from unauthorized use of your account due to your failure to keep credentials secure.

### 4.4 One Account Per User

You may not create multiple free accounts to circumvent plan limits or free trial restrictions.

## 5. Subscriptions & Billing

### 5.1 Plans & Pricing

All prices are in US Dollars (USD) and exclusive of applicable taxes. Taxes may be added at checkout based on your billing location.

### 5.2 Billing

- Subscriptions are billed in advance at the start of each billing period (monthly or annual).

- All payment processing is handled by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis.

- You will receive an invoice by email for each billing cycle.

### 5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period. You may cancel before the renewal date to prevent the next charge. Cancellation takes effect at the end of the current paid period; you retain access until then.

### 5.4 Annual Plans

Annual plans are billed as a single upfront payment. Early cancellation of an annual plan does not entitle you to a prorated refund beyond the 30-day guarantee period described in section 5.5.

### 5.5 Money-Back Guarantee

We offer a 30-day money-back guarantee if, after completing the standard onboarding and setup process, AI agents cannot read your product data as intended. To claim a refund, contact hello@eshoplisting.com within 30 days of your initial subscription with a description of the issue. We will investigate and, if the failure is due to a defect in our Service (not your store configuration or third-party AI Platform behavior), issue a full refund. This guarantee applies to your first subscription period only.

### 5.6 Plan Changes

- Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the billing period.

- Downgrades take effect at the end of the current billing period. If you exceed the new plan's product limits, excess products will stop being served until within limits.

### 5.7 Failed Payments

If a payment fails, we will notify you by email and attempt to retry the charge over the following 7 days. If payment remains unsuccessful, your subscription will be suspended. Suspended accounts lose access to paid features but retain their data for 30 days, after which data may be deleted.

### 5.8 Taxes

You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities. If we are required to collect taxes (e.g., EU VAT), these will be added to your invoice. Provide a valid VAT ID at signup to benefit from the reverse charge mechanism where applicable.

## 6. Acceptable Use

### 6.1 Permitted Use

You may use the Service only for lawful purposes in connection with your legitimate e-commerce business.

### 6.2 Prohibited Use

You agree not to:

- Submit domains or stores you do not own or are not authorized to manage

- Use the Service in connection with illegal products or services (including but not limited to counterfeit goods, illegal weapons, controlled substances, or child exploitation material)

- Attempt to circumvent rate limits, authentication, or security measures

- Probe, scan, or test the vulnerability of the Service without prior written authorization

- Introduce malware, viruses, or malicious code via the Service

- Use automated means to access or interact with the Service beyond the provided API

- Reverse-engineer, decompile, disassemble, or derive the source code of the Service

- Resell or sublicense access to the Service without written permission

- Engage in actions that impose an unreasonable or disproportionate load on our infrastructure

- Impersonate another merchant or misrepresent your store's products, prices, or availability in ways that could mislead AI Platforms or consumers

### 6.3 Content Standards

Product data you submit must be accurate, not misleading, and not in violation of any applicable law or third-party rights (including intellectual property rights).

## 7. Intellectual Property

### 7.1 Our Property

The Service, including its software, design, algorithms, AI-Readable File formats, documentation, trademarks, and all content we create, is owned by Two Wolves and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

### 7.2 Your Property

You retain all ownership rights in your Store Data and product information. You grant us a limited, non-exclusive, worldwide, royalty-free license to access, process, structure, and distribute your Store Data solely for the purpose of providing the Service as described in these Terms.

This license terminates when you cancel your subscription, subject to the data retention terms in our Privacy Policy.

### 7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

## 8. Data & Privacy

Your use of the Service is governed by our Privacy Policy, available at https://www.eshoplisting.com/legal/privacy. Key points:

- We process only publicly accessible product data from your store.

- We do not sell your data to third parties.

- You remain the data controller for any personal data of your customers. We act as a data processor only with respect to personal data you transmit to us (e.g., your account email).

- A Data Processing Agreement (DPA) is available upon request for Enterprise customers or where required by GDPR Article 28.

## 9. API Access

### 9.1 API Keys

API keys grant programmatic access to the Service. You are solely responsible for keeping your API keys confidential and for all API usage under your keys.

### 9.2 Rate Limits

API usage is subject to rate limits as documented in the API reference. Exceeding rate limits will result in temporary throttling. Systematic or abusive violation of rate limits may result in account suspension.

### 9.3 API Stability

We strive to maintain backward compatibility of our APIs. We will provide at least 60 days notice before deprecating any API endpoint or making breaking changes, except where required for security reasons.

## 10. Blockchain Verification

### 10.1 Trust Certificates

Business and Protocol Scale subscribers receive a Solana blockchain trust certificate (compressed NFT / cNFT).

### 10.2 Permanence

Once minted, blockchain records are permanent. They cannot be deleted, modified, or transferred. By subscribing to a plan that includes blockchain verification, you acknowledge and accept this permanence.

### 10.3 Certificate Content

Certificates contain only: your store domain, verification timestamp, and trust score. No personal information is recorded on-chain.

### 10.4 No Financial Value

Trust certificates have no monetary value, are non-transferable, and are issued solely as a verification signal. They do not represent any equity, security, or financial instrument.

## 11. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

- Fitness for purpose — that the Service will meet your specific business requirements

- AI Platform behavior — that any AI Platform (ChatGPT, Claude, Gemini, Perplexity, or any other) will read, use, or recommend your store or products as a result of using the Service

- Sales or revenue results — that using the Service will increase traffic, conversions, or revenue

- Uninterrupted availability — that the Service will be available at all times without interruption or error

- Accuracy of AI outputs — that AI Platforms will accurately represent your products when they do reference them

## 12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

12.1 In no event will EshopListing, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or relating to these Terms or the use of (or inability to use) the Service.

12.2 Our total aggregate liability to you for any claims arising under these Terms is limited to the greater of (a) the total amount you paid to EshopListing in the 12 months preceding the event giving rise to the claim, or (b) $100 USD.

12.3 These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

12.4 Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

## 13. Indemnification

You agree to indemnify, defend, and hold harmless EshopListing, its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

- Your use of the Service in violation of these Terms

- Your Store Data or product information

- Your violation of any applicable law or regulation

- Your infringement of any third-party intellectual property or other rights

- Any false or misleading information you submit through the Service

## 14. Termination

### 14.1 By You

You may cancel your subscription at any time through the Dashboard or by contacting hello@eshoplisting.com. Cancellation takes effect at the end of the current billing period. Upon cancellation, your AI-Readable Files will be removed from our distribution network within 30 days.

### 14.2 By Us

We may suspend or terminate your account with immediate effect if:

- You breach these Terms materially and fail to cure the breach within 5 business days of notice

- You submit fraudulent payment information

- You use the Service to facilitate illegal activity

- Your account poses a security risk to the Service or other users

We may terminate the Service entirely with 30 days written notice to your registered email address. In the case of whole-Service termination, we will provide a prorated refund for prepaid unused subscription periods.

### 14.3 Effect of Termination

Upon termination: your access to the Service ends, your API keys are revoked, and your data will be deleted as described in our Privacy Policy. Blockchain records, being permanent by nature, will remain. Clauses that by nature survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will continue in effect.

## 15. Confidentiality

Each party may have access to confidential information of the other party in connection with these Terms. Each party agrees to:

- Keep confidential information confidential using at least the same care it uses for its own confidential information (but no less than reasonable care)

- Use confidential information only for the purposes of these Terms

- Not disclose confidential information to third parties without prior written consent

This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

## 16. Dispute Resolution

### 16.1 Informal Resolution

Before filing any formal claim, you agree to contact us at hello@eshoplisting.com and describe the dispute in reasonable detail. We will attempt to resolve the dispute informally within 30 days.

### 16.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union law, without regard to conflict of law principles.

### 16.3 Jurisdiction

Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the courts of Vilnius, Lithuania. If you are a consumer in the EU, you may also use the EU Online Dispute Resolution platform at [ec.europa.eu/consumers/odr](https://ec.europa.eu/consumers/odr).

### 16.4 Limitation Period

Any claim arising under these Terms must be brought within one (1) year of the event giving rise to the claim, after which it is permanently barred.

## 17. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms resulting from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, labor disputes, government actions, internet infrastructure failures, or failures of third-party service providers (including cloud infrastructure and AI Platforms).

## 18. General Provisions

### 18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EshopListing regarding the Service, and supersede all prior agreements, representations, and understandings.

### 18.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

### 18.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

### 18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in a merger, acquisition, or sale of substantially all assets.

### 18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

### 18.6 Headings

Section headings are for convenience only and have no legal effect.

## 19. Changes to These Terms

We may update these Terms at any time. For material changes, we will:

- Send notice to your registered email address at least 14 days before the changes take effect

- Display a prominent notice on the Service

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the new Terms, you must cancel your subscription before the effective date.
